Bylaws of the Lead, Educate, Serve Society

Article I. Name and Purpose

Section 1.01 The name of the association is the Lead, Educate, Serve Society, or LESS.

Section 1.02 The purpose of LESS is to encourage members to commit to ongoing personal and professional development and, in turn, to provide learning opportunities and service for others within their communities.

Article II. Mission

Section 2.01 Do more with LESS. The mission of LESS is to encourage people to make a commitment to developing their knowledge and skills while also giving back to others through educational activities and service.

Article III. Board of Directors

Section 3.01 The Board of Directors shall be known as the Advisory Board. Board members may be elected for successive terms; however, the length of term may not exceed five years.  The Board will be elected by members at the annual meeting.

Article IV. Membership

Section 4.01 Membership will be open to any person who meets the following criteria:

  • (a) Commitment to lifelong learning
  • (b) Desire to share knowledge and skills
  • (c) Willingness to participate in, support, and contribute to the Society

Section 4.02 A person becomes a member by establishing goals for the upcoming year and posting those goals for public display on the LESS social networking site.

Section 4.03 The membership period is one year. To remain a member in good standing, a member will review and restate goals at least once per year.

Section 4.04 The board of advisors has the final right to determine whether behavior qualifies as harmful enough to be subject to removal from LESS.

Article V. Code of Ethical Conduct

Section 5.01 The Code of Ethical Conduct will be maintained on the Society’s web site.

Section 5.02 Professional and courteous conduct is expected from all members when engaging in activities related to LESS.

Section 5.03 Failure to adhere to LESS’ published Code of Ethical Conduct will result in a warning to the member. Two violations will result in membership being revoked.

Article VI. Interest Groups

Section 6.01 Should members want create a group with a shared focus, interest groups may be created.

Section 6.02 Interest groups associate with LESS must adhere to all rules and procedures.

Article VII. Finances

Section 7.01 There are no membership dues or finances. However, should funding be secured, the management and distribution of such funds will be within the Boards control.

Article VIII. Liability and Responsibility

Section 8.01 LESS assumes no responsibility or liability for any individual’s behavior.

Section 8.02 Expenses incurred are the responsibility of the individual.

Article IX. Amendments to the Bylaws

Section 9.01 Bylaws may be amended at a meeting of the Board where there is a quorum of at least three Board members.
